MASTER TERMS OF USE & END USER LICENSE AGREEMENT (EULA)

IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND WAIVER OF JURY TRIALS AND CLASS ACTIONS GOVERNING DISPUTES ARISING FROM USE OF THE LOAF GLOBAL SERVICES.

1. INTRODUCTION

These Terms of Use ("Terms") constitute a legally binding agreement between LOAF GLOBAL CO LTD ("LOAF GLOBAL", "We", "Us") and you, the individual or entity accessing or using our software platforms ("User", "You").

By creating an account, downloading our mobile application, or accessing our web platforms (including Property Pulse ERP, Atlas School Platform, or any Custom Enterprise Solution developed by Us), you agree to be bound by these Terms.

2. SCOPE OF SERVICES

LOAF GLOBAL provides digital infrastructure solutions, including but not limited to:

  1. Property Pulse: A real estate operating system for land governance and sales.

  2. Atlas: An educational management platform for schools and parents.

  3. Custom Solutions: Bespoke software developed for enterprise clients.

3. LICENSE GRANT & RESTRICTIONS

3.1 Limited License: Subject to your compliance with these Terms and payment of applicable fees, LOAF GLOBAL grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes.


3.2 Restrictions: You shall not:

  • Reverse engineer, decompile, or disassemble the source code.

  • Use the Services to build a competitive product.

  • Lease, lend, sell, or sublicense the Services to a third party (unless authorized via a separate White Label Reseller Agreement).

  • Use the Services for any illegal purpose, including fraud, money laundering, or data theft.

4. ACCOUNT SECURITY

4.1 Credentials: You are responsible for maintaining the confidentiality of your login credentials. You accept full responsibility for all activities that occur under your account.


4.2 Breach Notification: You must notify LOAF GLOBAL immediately of any unauthorized use of your account or security breach.

5. DATA OWNERSHIP & PRIVACY

5.1 User Data: You retain all rights and ownership of the data you enter into the System (e.g., Student Records, Land Indentures, Tenant Lists).


5.2 License to Process: You grant LOAF GLOBAL a worldwide, royalty-free license to host, copy, transmit, and display your User Data solely as necessary to provide the Service, maintain security, and perform analytics (in anonymized aggregate form).


5.3 Data Backup: While We perform regular backups, We do not guarantee that data will never be lost or corrupted. You are responsible for maintaining your own local copies of critical data.

6. INTELLECTUAL PROPERTY

6.1 LOAF IP: The underlying software, algorithms, UI design, "Atlas" AI Engine, and "Property Pulse" architectures are the exclusive intellectual property of LOAF GLOBAL CO LTD.


6.2 Feedback: Any suggestions or feedback you provide regarding the Service shall become the property of LOAF GLOBAL without compensation.

7. FEES AND PAYMENT

7.1 Subscription: Access to paid features requires a valid subscription. Fees are billed in advance and are non-refundable.


7.2 Non-Payment: We reserve the right to suspend or terminate access to the Service immediately if your account falls into arrears for more than 14 days.

8. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". LOAF GLOBAL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY GHANAIAN LAW, LOAF GLOBAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL). OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. GOVERNING LAW

These Terms shall be governed by the laws of the Republic of Ghana. Any disputes shall be resolved through binding arbitration in Accra under the Alternative Dispute Resolution Act, 2010 (Act 798).

SCHEDULE A: SPECIAL TERMS FOR "PROPERTY PULSE" USERS

Applies to Real Estate Developers, Agents, and Landowners.

A.1. No Legal Advice: Property Pulse provides tools for land management and document storage ("Legal Vault"). The "Traffic Light" litigation status (Green/Red) is an informational indicator only. It does not constitute a legal title search or guarantee of land ownership. You must conduct your own due diligence at the Lands Commission.

A.2. Zero Fraud Tolerance: Any User found using the platform to facilitate the "double-selling" of land or fraudulent receipt generation will be permanently banned and reported to the Ghana Police Service.

A.3. GPS Accuracy: The "Geo-Tagging" feature relies on the GPS hardware of your mobile device. LOAF GLOBAL is not liable for boundary inaccuracies caused by device hardware limitations.

SCHEDULE B: SPECIAL TERMS FOR "ATLAS" USERS

Applies to Schools, Teachers, Parents, and Students.

B.1. Data Sync (Offline Mode): Atlas uses an "Offline-First" architecture. In the event of a sync conflict (e.g., two teachers grading the same student offline), the system will apply the "Last Uploaded" rule. LOAF GLOBAL is not liable for data discrepancies arising from prolonged offline periods (>7 days).

B.2. AI Assistant Disclaimer: The "Atlas" AI Engine generates lesson plans and quizzes based on probabilistic models. It may produce inaccuracies. Teachers are required to review all AI-generated content before presenting it to students.

B.3. Child Safety: Schools must obtain parental consent before creating accounts for minors (students under 18). LOAF GLOBAL processes student data strictly for educational purposes and does not sell student profiles to advertisers.

SCHEDULE C: TERMS FOR CUSTOM / WHITE LABEL CLIENTS

Applies to Enterprise Clients hosting their own instance.

C.1. Custom Code: If LOAF GLOBAL develops custom modules for you, ownership of such code is governed by your specific Master Service Agreement (MSA) or White Label Agreement. In the absence of such an agreement, these Terms apply.

C.2. End-User Responsibility: If you resell our software (White Label), YOU are responsible for enforcing these Terms (or substantially similar terms) with your End-Users. LOAF GLOBAL accepts no liability for claims arising from your End-Users.
